Annual Meeting Procedures

Welcome to the Pacific Mutual Holding Company (Pacific Mutual) Annual Meeting of Members (Annual Meeting). In the interest of a productive and orderly meeting, we ask for your cooperation in observing the following Annual Meeting Procedures:

1. All Members of Pacific Mutual as of the March 31, 2025 record date (Record Date), or their duly authorized proxies, are invited to attend the meeting.  Only Members of Pacific Mutual as of the Record Date, or their duly authorized proxies, are entitled to attend the meeting.  To attend the virtual Annual Meeting, please visit https://www.PacificMutual.com/AnnualMeeting up to 15 minutes prior to the start of the meeting to log in with your 15-digit Control Number included in your proxy materials, without spaces.
   
   
2. Voting on the day of the meeting will be conducted through the meeting site by logging onto https://www.PacificMutual.com/AnnualMeeting on May 21, 2025, and entering your 15-digit Control Number included in your proxy materials, without spaces. The polls will be open from
   8:00 a.m., Pacific Time, until the conclusion of the Annual Meeting.  Results will be announced at the Annual Meeting.
   
   
3. The business of the Annual Meeting will be taken up as set forth in the Agenda.  Members attending the virtual Annual Meeting will be in listen-only mode.  Member questions or requests for additional information may be submitted to our Corporate Affairs Department via email at CorporateAffairs@PacificLife.com.
   
   
4. In the event of a technical malfunction or other significant problems that disrupt the Annual Meeting, the Chair may adjourn, recess, or expedite the Annual Meeting, or take such other action that the Chair determines appropriate in light of the circumstances.
   
   
5. Recording of the Annual Meeting is prohibited.
